# 1. Agreement to these Terms
These Terms of Service (the "Terms") govern your access to and use of HudPad, meaning the website at hudpad.com, its subdomains (including stable.hudpad.com), and the software interface they provide to interact with the HudPad smart contracts on the supported networks (HyperEVM, Robinhood Chain and Stable) (together, the "Interface"). By accessing or using the Interface, you agree to these Terms. If you do not agree, do not use the Interface.
The Interface is a tool for interacting with public, permissionless blockchain software. It is offered by the HudPad contributors ("HudPad", "we", "us"). We are not your broker, exchange, custodian, financial institution, or fiduciary.
# 2. What HudPad is (and is not)
HudPad is a non-custodial, decentralized interface. It helps you construct transactions that you sign and broadcast yourself, using your own self-custodied wallet.
- We never take custody of your tokens, funds, or private keys, and we never move assets on your behalf.
- The HudPad contracts are immutable: there are no admin keys, no upgrade path, and no pause switch. We cannot alter, freeze, reverse, or recover any transaction or token.
- Launches trade on-chain from the first block. On every supported network a coin opens on a bonding curve inside the launch contract and graduates into a Uniswap v3 pool (HyperSwap on HyperEVM) when the curve's stock sells out. Trading, pricing, and settlement happen entirely on-chain, independent of the Interface.
- The Interface is one of many possible ways to reach the underlying contracts. If it is unavailable, the contracts remain accessible directly on-chain.
- HudPad is an independent project and is not affiliated with, endorsed by, or sponsored by Robinhood Markets, Inc., nor by the Hyper Foundation, Hyperliquid Labs, Uniswap Labs, HyperSwap, Nest, PRJX, Stable, Bitfinex, Tether, Everdawn Labs, or Backed Finance. "HyperEVM", "Robinhood Chain" and "Stable" are used solely as the names of the networks the contracts are deployed on; "HYPE" and "USDT0" solely as the names of assets on those networks (USDT0 is issued and operated by Everdawn Labs under licence from Tether, and the tokenized stocks are issued by Backed Finance — neither by HudPad).
# 3. Eligibility
To use the Interface you represent that you: (a) are at least the age of majority in your jurisdiction and have full legal capacity to accept these Terms; (b) are not located in, or a resident of, any jurisdiction where use of the Interface or of crypto-assets is prohibited; (c) are not subject to any sanctions and are not on any prohibited-parties list (including any list maintained by OFAC); and (d) will use the Interface in compliance with all laws that apply to you, including tax, securities, and anti-money-laundering laws.
You are solely responsible for determining whether your use of the Interface is lawful in your jurisdiction, and for determining, reporting, and paying any taxes that apply to your activity. HudPad does not withhold or report taxes on your behalf.
# 4. No financial, legal, or tax advice
Nothing on HudPad, including token listings, market data, charts, market caps, names, and documentation, is financial, investment, legal, accounting, or tax advice, or a recommendation to buy, sell, or hold anything. HudPad does not offer, sell, underwrite, or solicit any token or security, and does not endorse any token launched through the Interface.
Tokens and .hud names are not deposits, shares, or regulated financial products offered by HudPad. You are responsible for your own research and decisions. Consult your own qualified advisors before transacting.
HudPad earns a platform fee on trades and may itself hold or transact in the platform token, so it may benefit economically from activity in some tokens. This is never an endorsement or recommendation of any token.
# 5. Assumption of risk
Crypto-assets are highly volatile and speculative. By using the Interface you knowingly accept all risks, including that you may lose the entire value of anything you buy, launch, or hold. In particular:
- Smart-contract risk. The contracts are provided "as is." They have been tested and reviewed but have not undergone a formal third-party audit. Software may contain bugs, errors, or vulnerabilities that could result in total loss.
- Third-party tokens. Anyone can launch a token permissionlessly. Tokens may be worthless, abandoned, misleading, or created to defraud. Locked launch liquidity reduces some risks but does not make any token safe.
- Market risk. Prices can go to zero. Liquidity may be thin. Trades are subject to slippage, front-running, and other on-chain dynamics beyond our control.
- Network risk. Blockchain congestion, reorgs, downtime, RPC or sequencer failures, and gas costs may cause failed, delayed, or unexpected transactions.
- Irreversibility. On-chain transactions are final. There are no chargebacks or reversals.
- Platform token. The platform token is born directly into a public liquidity pool by an ownerless genesis contract: its entire supply is placed in that pool at launch, the position cannot be withdrawn by anyone, and the same contract creates the buyback-and-burn in the same transaction. There is no sale, no presale window, no pre-mine or free allocation, and no escrow of user funds by HudPad; anything HudPad holds it bought from that pool like anyone else.
- Bonding-curve launches. Buys on the curve price along a fixed deterministic curve and are subject to the launch guard and to slippage like any trade. The raise sits in the immutable curve contract until graduation converts it into locked pool liquidity; it is never refundable and never withdrawable by anyone, HudPad included. Graduation is permissionless, and its timing depends on the network's block cadence and on nobody having obstructed the pool.
- Coins paired with another asset. A coin may be priced against a tokenized stock or a dollar token issued by a third party. Its value then depends on that issuer too, including any pause, redemption or transfer restriction they impose, none of which HudPad controls. Paying in the network's own coin for such a pair routes through third-party pools, so what you receive depends on their depth at that moment.
- Key management. If you lose access to your wallet or keys, no one, including HudPad, can recover your assets.
# 6. Your wallet, your responsibility
You are solely responsible for the security of your wallet, keys, and devices, and for every transaction you sign. You must review each transaction before signing it. You bear full responsibility for verifying token addresses, names, prices, and counterparties. We are not liable for any loss arising from your interactions, phishing, fraudulent tokens, malicious contracts, or third-party wallet software.
# 7. Third-party tokens, names, and content
Token names, tickers, images, descriptions, links, and .hud names are user-generated. HudPad does not create, vet, endorse, or guarantee any of it, and does not verify the identity or claims of any creator. Listings and market data are provided for convenience and may be inaccurate, delayed, or incomplete.
If you launch a token or register a name, you alone are responsible for it and for complying with every law that applies to it, including securities, intellectual-property, consumer-protection, and tax laws. HudPad neither reviews nor approves what you launch, and does not act as an issuer, underwriter, or seller of it.
The Interface may link to or display third-party services (for example block explorers, charting providers, or RPC endpoints). We do not control and are not responsible for those services.
The forum and other posts. Threads, replies, community chat and profile fields are written by users, not by HudPad. Posting requires holding a .hud name and is signed by your wallet rather than sent as a transaction; the signature binds the exact text, and the post is public the moment it is stored. You are responsible for what you post. Anyone can report a post, authors can delete their own, and we may remove a post or restrict posting where content breaks these Terms. Links inside posts are limited to x.com, and a link that survives that limit is still not an endorsement of anything behind it.
# 8. Fees
Fees are enforced by the contracts and are transparent on-chain:
- Trading on HyperEVM. A trade on the curve carries a 1% fee, settled in the same transaction and split in thirds fixed at deployment: platform treasury, an immutable buyback-and-burn contract for the platform token, and the token's creator. A coin launched in Dividend mode carries 2% instead: the same thirds, plus 1% shared among everyone holding the coin at that moment. After graduation the pool's own 1% fee accrues to the locked position and splits the same way on collection, with the token side burned in full.
- Trading on Robinhood Chain and on Stable. A trade on the curve carries a 1% fee, settled in the same transaction and split evenly between the platform treasury and the token's creator. After graduation the pool's own 1% fee splits the same way on collection; the token side is burned in full.
- Launching. Creating a coin costs only network gas. An optional dev buy inside the launch is your own spend and pays the same trade fee as any other buy. Nothing else is charged.
- .hud names. Registration and renewal are priced in a fixed amount of the chain's native currency per year by name length, paid to the platform treasury. Secondary-market sales and accepted offers carry a 2.5% market fee, enforced by the market contract.
You also pay network gas fees on every transaction. Fees may change for future deployments; already-deployed contracts are immutable and their terms cannot change.
# 9. Prohibited uses
You agree not to use the Interface to: break any law or regulation; launder money or finance illicit activity; evade sanctions; manipulate markets or defraud others; infringe intellectual-property or privacy rights; impersonate any person or project; upload unlawful, hateful, or harmful content; interfere with, attack, or overload the Interface or its infrastructure; or misrepresent a token or name. We may, without liability, restrict access from the Interface (but not from the on-chain contracts, which we do not control) in response to abuse or legal requirements.
# 10. Intellectual property
The HudPad name, logo, wordmark, site design, and original content are owned by HudPad and its licensors. These Terms grant you no right to use HudPad's brand without permission. Content you submit (such as token metadata) remains yours; by submitting it you grant HudPad a worldwide, non-exclusive, royalty-free license to host, display, and distribute it through the Interface, and you represent that you have the rights to submit it.
# 11. No warranties
THE INTERFACE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Interface will be uninterrupted, secure, error-free, or that data, prices, or quotes are accurate. You use the Interface at your own risk.
# 12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDPAD AND ITS CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, TOKENS, ASSETS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE INTERFACE, ANY TOKEN OR NAME, OR ANY SMART CONTRACT, EVEN IF ADVISED OF THE POSSIBILITY. TO THE EXTENT LIABILITY CANNOT BE FULLY EXCLUDED, OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO THE PLATFORM TREASURY IN THE 30 DAYS BEFORE THE CLAIM, OR USD 100.
# 13. Indemnification
You agree to indemnify and hold harmless HudPad and its contributors from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Interface, your violation of these Terms, your violation of any law or third-party right, or any token or content you launch or submit.
# 14. Availability and changes
We may modify, suspend, or discontinue the Interface at any time, without notice or liability, and we may update these Terms. The "last updated" date below reflects the latest version; material changes take effect when posted, and continuing to use the Interface after that means you accept them. If you do not agree, stop using the Interface. The underlying contracts, being immutable and permissionless, are unaffected by any of this and remain accessible on-chain.
# 15. Governing law and contact
These Terms and any dispute arising from them are governed by the laws applicable at the operator's principal place of business, without regard to conflict-of-laws rules. To the extent permitted by law, disputes are resolved on an individual basis and you waive any right to participate in a class or representative action. Nothing here limits consumer rights that cannot be waived under the law that applies to you.
